These Terms of Service ("Terms") govern your access to and use of the Operari field service management platform operated by Fusion Software, LLC ("Operari," "we," "us," or "our"). By creating an account or using our services, you agree to be bound by these Terms.
Terms of Use
By accessing or using Operari, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. You agree to use the platform only for lawful purposes and in accordance with these Terms.
You may not:
- Use the platform in any way that violates applicable federal, state, or local laws or regulations
- Attempt to gain unauthorized access to any part of the platform, other accounts, or systems
- Interfere with or disrupt the integrity or performance of the platform
- Reverse engineer, decompile, or disassemble any portion of the platform
- Use the platform to transmit malware, spam, or other harmful content
User Accounts
When you create an account, you are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
Company administrators are responsible for managing user access within their organization, including adding, removing, and assigning roles to team members. You may not share accounts or credentials between individuals.
Service Description
Operari provides a cloud-based field service management platform that includes, but is not limited to:
- Job scheduling, dispatch, and recurring schedule management
- Mobile technician application for field operations
- Client management and service history tracking
- Material application logging and compliance reporting
- Invoicing, payment processing (via Stripe), and financial reporting
- Client notifications via SMS and email
We reserve the right to modify, suspend, or discontinue any part of the platform at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes that affect your use of the service.
Subscription and Payment
Access to Operari requires a paid subscription. By subscribing, you agree to pay the applicable fees as described on our pricing page. Subscriptions are billed on a monthly basis unless otherwise agreed.
- All fees are quoted in U.S. dollars and are non-refundable except as required by law
- We may change pricing with 30 days' written notice
- Failure to pay may result in suspension or termination of your account
- Payment processing is handled securely by Stripe; we do not store your payment card details
Data Ownership
You retain full ownership of all data you enter into the platform, including client records, job details, material logs, and invoices. We do not claim any intellectual property rights over your data.
You grant us a limited license to use your data solely for the purpose of providing, maintaining, and improving our services. Upon account termination, you may request an export of your data within 30 days.
Intellectual Property
The Operari platform, including its design, source code, features, documentation, and branding, is the exclusive property of Fusion Software, LLC and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the platform as described herein.
Limitation of Liability
To the maximum extent permitted by applicable law:
- Operari is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied
- We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components
- In no event shall Fusion Software, LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform
- Our total aggregate liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim
Indemnification
You agree to indemnify, defend, and hold harmless Fusion Software, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, or your violation of any rights of a third party.
Termination
Either party may terminate these Terms at any time. You may cancel your subscription through your account settings or by contacting us. We may suspend or terminate your access if you breach these Terms or for any reason with 30 days' notice.
Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and data retention obligations) will remain in effect.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York.
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date above. Your continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
